What a Business LPA Does and Why Your Company Needs One

A business LPA, or business lasting power of attorney, is a legal document that gives a chosen person the formal powers to act on your behalf and handle your business affairs. That covers signing contracts, managing accounts, dealing with suppliers, and keeping operations going if you are no longer able to do so.

Without one in place, even a short period of incapacity can freeze everything. Around 1.3 million lasting power of attorney documents are registered each year in the UK, and business owners are a growing share of that number. LPAs now account for around 99.7% of all powers of attorney registrations, having replaced older forms almost completely. Demand has stayed well above pre-pandemic levels, and it reflects a clear shift toward proactive planning.

The Difference Between a Business LPA and a Personal Lasting Power of Attorney

There are three types of power of attorney available in the UK. A lasting power of attorney is used for future loss of mental capacity. An ordinary power of attorney is only valid while the donor still has mental capacity, so it offers no protection if capacity is lost. An enduring power of attorney was the older form, replaced by the LPA in 2007, and can no longer be created.

A personal lasting power of attorney covers property and financial affairs or health and welfare for the individual. A business LPA is a separate arrangement covering your commercial role and the decisions that need to keep moving. It is specifically structured around your business interests, and a business LPA appointing attorneys with the right scope is quite different from a personal lasting power of attorney.

Why Your Business Structure Changes How the LPA Needs to Work

Whether you are a sole trader, a partner in a firm, or a director of a limited company changes how a business LPA needs to be set up. A sole trader has no separate legal entity to fall back on. All business affairs sit directly with the individual. Without a registered lasting power of attorney, no one has the legal powers to act on your behalf, access your accounts, or make decisions for the business.

A limited company is a separate legal entity, but a sole director losing mental capacity still creates serious problems. Without a valid director's appointment process or a registered LPA in place, the company can become inoperable. Any gap in the director's appointment chain can leave the company without a clear decision-maker. Even where other directors exist, certain accounts or decisions that require your sign-off may be frozen until legal authority is granted to someone else through the courts, if no lasting power of attorney exists.

The Real Risks of Running a Business Without a Lasting Power of Attorney

The Real Risks of Running a Business Without a Lasting Power of Attorney

Most business owners assume the business will carry on if something happens to them. Without a lasting power of attorney in place, it often cannot. Banks will not release funds or accept instructions from someone who holds no registered powers to act on your behalf. It does not matter how well they know the business or how long they have worked alongside you. Without formal powers in place, they are unable to act. These powers can only be granted through a properly registered lasting power of attorney.

Without a business LPA, accounts can be locked immediately when a director or key figure loses mental capacity. Family members, colleagues, and associates may find themselves unable to act. Contractual obligations may go unmet. Clients and staff are left waiting while a legal process runs its course, and that can cause lasting damage to a small business that simply cannot afford the disruption.

What Happens When No LPA Exists: The Court of Protection Route

If there is no registered lasting power of attorney and you lose capacity, anyone wanting to act on your behalf must apply to the Court of Protection. Court of Protection applications can take time and incur fees, and result in a court-appointed deputy rather than someone you chose.

With a registered LPA, your attorney may be able to act without applying to the Court of Protection. Banks and other organisations may still ask for evidence.

The Partnership Agreement and What It Cannot Do on Its Own

If you run a business with others, your partnership agreement may address what happens if a partner is unable to act. But a partnership agreement alone does not give a business partner the legal powers to access your finances or sign on your behalf. A business lasting power of attorney does.

Without a registered lasting power of attorney, the remaining partners may be unable to handle certain decisions or operate accounts in your name. This creates risk across the entire partnership, and it is worth considering how a business LPA sits alongside the existing partnership agreement when planning for business continuity. Both serve different functions, and both are needed.

How a Business LPA Is Created, Registered, and Put to Use

A business LPA must be created while you still have mental capacity. Once it is lost, it is too late to create one. The lasting power of attorney must then be registered with the Office of the Public Guardian before it can be used, which currently takes between 16 and 20 weeks.

Getting the form right is critical. Over 130,000 LPA applications were rejected in a single year due to errors including missing signatures, incorrect sequencing, or incomplete sections. Errors delay registration significantly, and that is time a business cannot afford to lose if circumstances change quickly.

Choosing Who to Appoint as Your Attorney

A business LPA allows you to appoint multiple attorneys. You can appoint a fellow director, a business associate, or a professional adviser. Family members can also be appointed to act on your behalf, though many business owners prefer someone with direct knowledge of the company and its day-to-day demands.

Your attorneys will have the powers to make decisions relating to your business affairs, including financial and operational matters. Those powers are defined at the point of creating the LPA, and they carry full legal weight once the document is registered. You can include specific instructions within the LPA to guide how certain decisions are made, limit the scope of powers granted to any attorney, and flag if any area of the business requires joint sign-off. This is especially useful where there are investors, intellectual property concerns, or complex contractual interests to protect.

For example, a sole trader might appoint a trusted business contact with authority to pay suppliers, manage accounts, and handle day-to-day selling decisions. A limited company director might give a co-director the powers to sign contracts and manage the company's finances on their behalf. The structure depends entirely on your business and what you need it to do.

When the LPA Powers Take Effect

A business lasting power of attorney can be structured to take effect immediately once filed, or only on loss of mental capacity. Most business owners prefer the latter, so the attorney's powers are only used when genuinely needed.

For example, over 300,000 to 380,000 LPAs are registered every quarter in the UK, and the sustained volume shows how seriously people are now taking this form of planning. A growing number of LPAs now include digital access verification codes, making it easier for attorneys to confirm their authority quickly with banks and institutions when the moment arises. This matters for online service access and digital account management in ways that were not a concern even a few years ago.

What Our Business LPA Service Includes From Start to Completion

What Our Business LPA Service Includes from Start to Completion

At Prescient Wealth & Estate Management, our Business LPA service covers everything from the first conversation through to registration. We do not hand you a form and leave you to work it out alone. We take the time to understand your business structure, your role within it, and where the LPA powers need to sit if you are ever unable to exercise them yourself.

We help identify suitable attorneys, prepare the documents and check them before submitting to the Office of the Public Guardian, to reduce the risk of errors.

How We Work Across Different Business Structures

A sole trader, a partnership, and a limited company each need a different approach to a business LPA. For a sole trader, the priority is covering business finances, paying commitments, and contractual obligations so the business can continue. For a limited company, we look at how the LPA fits alongside the company's governance and what powers are needed to keep things going.

For partnerships, we consider both the existing partnership agreement and what separate lasting power of attorney arrangements each partner needs. In relation to businesses with multiple entities or interests, we structure things carefully so there are no gaps. A business lpa appointing attorneys across different roles or interests requires attention to detail, and that is exactly what our service is built to deliver. We provide this service to clients across the UK.

Working Your Business LPA Into Wider Planning

A business LPA does not sit in isolation. At Prescient Wealth & Estate Management, we integrate it into broader planning that may include shareholder agreements, succession arrangements, tax planning, and estate planning where relevant. Planning together may help you consider how different arrangements fit together. No arrangement can cover every scenario.

We also consider intellectual property, investment holdings, and other assets tied to the business. One conversation often reveals planning gaps that business owners had not previously considered.

How Much Does a Business Lasting Power of Attorney Cost in the UK?

The government registration charge payable to the Office of the Public Guardian is currently £92 per LPA document. This increased from £82 in November 2025. For a business lasting power of attorney covering financial affairs, this is the mandatory amount payable to register.

Professional fees for preparing and managing the process vary with the complexity of your business structure. Specialist estate planning firms across the UK typically charge between £150 and £500 per document. Solicitors generally charge between £300 and £600 or more. At Prescient Wealth & Estate Management, our service pricing sits competitively within that range and we always provide a clear quote before work begins.

A certificate provider is required as part of the process, confirming the donor understands the lasting power of attorney form and has not been pressured into signing. Where a professional is engaged for this role, a small additional amount may apply.

To put it in context, applying to the Court of Protection after the fact involves far greater expense and time. Government fees alone exceed £400, solicitor bills on top, and months of delay. The cost of registering a business LPA now is significantly lower than going through the Court of Protection, and it puts the right person in control rather than a court-appointed deputy.

**Please note this is a rough guide and the actual cost will vary based on your financial situation, the complexity of advice required, and the service you choose. We keep an updated price list on our wills & lpa fees page but you need to contact us for an accurate quote.

Common Questions Business Owners Ask About Business LPAs

Common Questions Business Owners Ask About Business LPAs

Here are the questions that come up most often when we talk business owners through their options.

Does a Business LPA Cover Online Account Access and Day-to-Day Financial Operations?

A business lasting power of attorney can be drafted to cover online account access, online service authorisations, and banking across the company. Banks are increasingly concerned about accepting instructions from anyone without registered powers, and a properly registered LPA is what they need to see before they will act.

We help you identify the accounts and services to include in your LPA. Third parties such as banks may have their own requirements.

What if I Am Concerned About Losing Control Over Key Decisions?

This comes up in relation to almost every business LPA we handle, and it is entirely reasonable. The specific instructions you include in the document can set limits, require joint deciding on major transactions, and involve others in deciding the key choices that shape the business, and provide guidance on how sales, development, investment, and selling decisions should be handled on your behalf.

A business lasting power of attorney gives you the ability to define those terms while you still have mental capacity. Waiting until a medical condition or unexpected event forces the issue removes that ability entirely. The document is yours to shape, and our role is to make sure it reflects exactly how you want your business to be run if you are unable to run it yourself.

Can I Change My Attorneys or the LPA Powers Later?

Yes. While you still have mental capacity you can revoke a business lasting power of attorney and create a new one. You can change who you have appointed to act on your behalf, update specific instructions, or adjust the scope of powers granted. Any change to the powers in the document requires revoking the existing LPA and creating a new one. Changes in the business, for example taking the company in a new direction, or changes in the partnership, are all good reasons to review what is in place.

Why Business Owners Across the UK Are Registering LPAs Earlier Than They Used to

The shift toward earlier planning among business owners has been building for several years. Nearly half of all LPA donors are aged 75 or over, but uptake among working-age adults and business owners is rising. Demand has stayed significantly higher than pre-pandemic levels, and it reflects a broader change in how people approach planning for their business affairs.

A medical condition, an accident, or sudden illness can affect anyone at any age. Other types of legal documents, such as shareholder agreements or wills, address what happens after death. A business LPA addresses what happens while you are still alive but lose capacity or the ability to act. That is a different and equally important risk, and one that goes unaddressed in most business planning until it is too late.

Commerce does not pause while these questions are resolved. Having arrangements in place can help a business cope with unexpected events.

Frequently Asked Questions

Quick answers to the things people ask us most.

What Is a Business Lasting Power of Attorney in the UK?

A business lasting power of attorney in the UK is a legal document that appoints a chosen person to act on behalf of a business owner if they lose mental capacity. It allows them to manage finances, sign contracts, and keep operations running. It must be registered with the Office of the Public Guardian before it can be used.

Why Does a Business Need a Lasting Power of Attorney?

A business needing a lasting power of attorney ensures someone can legally step in if the owner cannot make decisions due to illness or incapacity. Without it, bank accounts and operations can be frozen until authority is granted by a court. It helps maintain continuity across day-to-day trading and financial commitments.

What Happens if a Business Has No Lasting Power of Attorney?

A business without an LPA may be unable to operate if the key decision-maker loses mental capacity. Banks and suppliers will not accept instructions without legal authority, which can stop trading. The situation often requires an application to the Court of Protection, which can take several months.

How Does a Business LPA Differ from a Personal LPA?

The difference between a business LPA and a personal LPA is that a business LPA focuses on commercial decisions and company operations. A personal LPA covers an individual's health, welfare, and personal finances. Both are separate legal arrangements and are used for different types of decision-making.

What Is the Cost of a Business Lasting Power of Attorney in the UK?

The cost of a business LPA in the UK is made up of a government registration fee and professional drafting fees. The Office of the Public Guardian fee is currently £92 per document, with additional adviser costs depending on complexity. Total costs vary but are usually significantly lower than court applications later.

How Long Does It Take to Register a Business LPA?

The time it takes to register a business LPA is usually between 16 and 20 weeks once submitted to the Office of the Public Guardian. Delays can occur if forms contain errors or signatures are missing. Once registered, it can be used immediately when needed.
